MINUTES OF THE ANNUAL GENERAL MEETING OF MEMBERS OF WILLIAMSBURG SETTLEMENT MAINTENANCE ASSOCIATION, INC. April 19, 2005
The Annual Meeting of Members of Williamsburg Settlement Maintenance Association, Inc. was held on Tuesday, April 19, 2005 at 1602 Hoyt, Katy, Texas 77449 at 7:00 p.m. pursuant to a duly published meeting notice.

Directors in attendance were Sue Dean Smith, Alan Blair, Linda Moore, Dave Ellis, Don McClelland, Stephanie Falk and Richard Erbert.  Also in attendance representing Planned Community Management Inc. were Dolores Sue and Melissa Tucker.

A quorum was qualified by representation in person and/or by proxy of 149.

The Board President served as chairperson and called the meeting to order at 7:10p.m.
She introduced the Board of Directors.

The first item on the agenda was the election of three (3) Directors to the Board. There were four (4) names on the ballot: Don McClelland, Sue Dean Smith, Emily Pape and Lance Gordon. The floor was opened for nominations. There were no nominations from the floor, a motion was made, seconded and unanimously approved to close nominations from the floor and call for the vote. The votes were collected and a resident assisted PCMI in counting the votes.  

The next item on the agenda was a review of the Association financials attached as Exhibit “B”.  The financial report was presented for 2004 budget and 2004 actual and the 2005 budget. There were questions and answers on the financials. A vote is required annually to roll over the excess income if any, for the benefit of IRS rulings. Upon a motion duly made, seconded and unanimously approved by the Members, it was:

RESOLVED, that any excess assessments for the taxable year 2005, that
are over and above the actual expenses paid or incurred for said year, shall
be applied to the following year’s assessments for operating expenses.

Community Operations Update – A Board Member from Municipal Utility District (MUD) 61 explained to the residents present that the MUD District is foreclosing on 3.1 Acres located at the end of Earl of Dunmore. He also discussed improvements, water rates and noted that it would be at least 28 more years before the City of Houston could annex in Williamsburg Settlement.

The counting of the votes was completed and President Smith announced the new Board Members will be Don McClelland, Sue Dean Smith and Lance Gordon.

A resident thanked the Board for all their hard work.

There being no further business the meeting was adjourned at 7:35 p.m.
